Terms of Payment: By Irrevocable Letter of Credit for 90% of the total invoice value of the goods to be shipped, in favour of the Sellers, payable at the issuing bank against the Seller’s draft at sight accompanied by the shipping documents stipulated in the Credit. The balance if 10% of the proceeds is to be paid only after the goods have been inspected and approved at the port of destination.

Delivery Terms: Certificates of Quality, Quantity, Weight and Origin are required. The Buyers have the right to have the goods re-inspected by the Guangzhou Entry-Exit Inspection and Quarantine Bureau of the People’s Republic of China at the port of discharge. The relevant Inspection Certificates may serve as the basis of any claim to be lodged by the Buyers against the Sellers.
13.索賠期限：貨到目的地卸貨后60 天內(nèi)買(mǎi)房有權(quán)為所受損失向賣(mài)方提出索賠。 Validity of Claim: The Buyers have the right to lodge claims for all losses sustained within 60 days after discharge of the goods at the port of destination.
14.仲裁：凡有關(guān)本合同或因執(zhí)行本合同所發(fā)生的一切爭(zhēng)執(zhí)，雙方應(yīng)以友好協(xié)商解決，如協(xié)商不能解決，可提交仲裁。仲裁應(yīng)在原告或被告的國(guó)家進(jìn)行。仲裁費(fèi)如未另行裁定應(yīng)由敗訴方負(fù)擔(dān)。
Arbitration: All disputes in connection with this Contract or arising in the execution of thereof shall first be settled amicably by negotiation. In case no settlement can be reached, the case under dispute may then be submitted for arbitration. The arbitration shall take place in the plaintiff’s or the defendant’s country. The fees for arbitration shall be borne by the losing party unless otherwise awarded.

The packing of the goods shall be preventive from dampness, rust, moisture, erosion and shock, and shall be suitable for ocean transportation/ multiple transportation. The Seller shall be
liable for any damage and loss of the goods attributable to the inadequate or improper packing. The measurement, gross weight, net weight and the cautions such as "Do not stack up side down", "Keep away from moisture", "Handle with care" shall be stenciled on the surface of each package with fadeless pigment.

1. Party A entrusts Party B to translate the relevant written document with a total characters of

6. Party B has right not to translate the document with unclear original test and blurred writing. If
it is necessary, Party A and Party B shall jointly consult the relevant special nouns.
7. Since the date of signing this agreement, both parties shall not terminate this agreement freely.
If a party causes the other party suffer losses, the party violating the agreement shall compensate the agreement value in double as a default penalty, and Party A and Party B shall reserve their respective litigious rights.
8. If there is any item not being referred in this agreement, Party A and Party B shall jointly
resolve the corresponding through consultation.
9. This agreement shall be valid after both parties’ signing or sealing in this agreement.
10. Any fax copy of this agreement shall be valid and effective.

Where, in accordance with laws, the circumstance(s) specified in Article 15 and Article 16 of this Law is /are confirmed, the organization with compensatory obligations shall pay compensation in any of the circumstance in question.
Where the claimant for compensation demands the confirmation of one of the circumstances specified in Article 15 and Article 16 hereof, and the demanded organization refuses to make the confirmation, the claimant shall have the right to lodge a complaint. Where the claimant claims compensation, the claim, shall, first, be lodged to the organization for compensatory obligations.
The provisions of Article 10, Article 11 and Article 12 hereof shall apply to/ in the procedures of compensation.

If an arbitrator involved in one of circumstances specified in Item 4, Article 34 of this Law, and if it is serious, or those specified in Item 6, Article 58 hereof, the arbitrator in question shall, in accordance with the law, bear the legal liability and responsibility.
The arbitration commission shall remove the name of the arbitrator in question from the list of arbitrators.
